3. Account Registration and User Responsibilities

When creating an account or using our services, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

4. Payment Terms and Billing

4.1 Pricing and Payment Methods

All prices are in Indian Rupees (INR) unless otherwise specified. We accept payments via:

  • Credit/Debit cards (Visa, MasterCard, Rupay)
  • Net banking
  • UPI (Unified Payments Interface)
  • Digital wallets
  • Bank transfers/NEFT/RTGS
  • International wire transfers for overseas clients

4.2 Payment Schedule

Payment terms vary by service type:

  • Software Products: Full payment upon purchase or subscription-based billing
  • Custom Development: 30-50% advance, milestone-based payments, balance on delivery
  • Maintenance/Support: Monthly/quarterly/annual advance payments
  • SaaS Products: Monthly or annual subscription fees paid in advance

4.3 Taxes and Additional Charges

All prices are exclusive of applicable taxes unless stated otherwise:

  • 18% GST (Goods and Services Tax) for Indian customers
  • Applicable international taxes for overseas customers
  • Payment gateway charges may apply (typically 2-3%)
  • Currency conversion charges for international payments

4.4 Late Payments and Suspension

Important: Late payment consequences:

  • 5% late fee after 7 days grace period
  • Service suspension after 15 days of non-payment
  • Data retention for 30 days post-suspension
  • Reactivation fee of ₹5,000 or 10% of outstanding amount (whichever is higher)
  • Legal action for amounts exceeding ₹50,000 after 60 days

4.5 Payment Security and PCI Compliance

We use industry-standard encryption and security measures. All payment processing is PCI-DSS compliant. We do not store credit card information on our servers.

5. Software Licensing and Usage Rights

5.1 License Grant

Upon payment, we grant you a non-exclusive, non-transferable license to use our software according to the selected plan:

  • Single License: Installation on one domain/server
  • Multi-License: Installation on specified number of domains
  • Enterprise License: Unlimited installations within your organization
  • SaaS Subscription: Access during active subscription period

5.2 Restrictions

You may not:

  • Reverse engineer, decompile, or disassemble the software
  • Remove or alter any proprietary notices
  • Resell, redistribute, or sublicense without written permission
  • Use for illegal activities or violate third-party rights
  • Exceed usage limits (API calls, storage, bandwidth)

6. Intellectual Property Rights

Ownership and rights allocation:

  • Our Products: We retain all rights to our standard software products
  • Custom Development: Client owns custom code upon full payment
  • Third-Party Components: Subject to their respective licenses
  • Your Content: You retain ownership of your data and content
  • Feedback: We may use feedback to improve our services

7. Data Protection and Privacy

We are committed to protecting your data:

  • Data processing according to our Privacy Policy
  • Industry-standard security measures including encryption
  • Regular security audits and updates
  • Data localization compliance for Indian customers
  • GDPR compliance for EU customers
  • Right to data portability and deletion upon request

8. Service Level Agreement (SLA)

For subscription and maintenance services:

  • Uptime Guarantee: 99.5% for premium plans
  • Support Response: Within 24 hours for standard, 4 hours for priority
  • Bug Fixes: Critical within 48 hours, minor within 7 days
  • Data Backup: Daily automated backups retained for 30 days
  • Maintenance Window: Scheduled during off-peak hours with notice

9. Warranties and Disclaimers

We warrant that:

  • Our services will perform substantially as described
  • We have the legal right to provide the services
  • Services will be free from viruses and malicious code
  • We will maintain professional standards

Disclaimer: Services are provided "AS IS" without warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted or error-free operation.

10. Limitation of Liability

Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, data loss, or business interruption.

11. Indemnification

You agree to indemnify and hold harmless Amie Technology and Robotics from any claims, damages, or expenses arising from your use of services, violation of these terms, infringement of third-party rights, or illegal activities.

12. Termination

Termination conditions:

  • By You: Cancel subscription anytime; custom projects per agreement
  • By Us: For breach of terms, non-payment, or illegal use
  • Effect: Access terminated, data available for 30 days
  • Refunds: Per our Refund Policy
  • Surviving Terms: Confidentiality, IP rights, limitation of liability

13. Dispute Resolution

Dispute resolution process:

  1. Good faith negotiation within 30 days
  2. Mediation in Guwahati if negotiation fails
  3. Arbitration under Indian Arbitration Act
  4. Litigation as last resort

Jurisdiction: Exclusive jurisdiction of courts in Guwahati, Assam, India. Governing law: Indian law without conflict provisions.

14. Acceptable Use Policy

Prohibited activities include:

  • Illegal activities or promoting illegal content
  • Distributing malware, viruses, or harmful code
  • Phishing, fraud, or deceptive practices
  • Spamming or unauthorized bulk communications
  • Violating intellectual property rights
  • Attempting to breach security measures
  • Excessive use affecting other users

15. Changes to Terms

We may update these terms with 30 days notice for material changes. Continued use constitutes acceptance of new terms. Check this page periodically for updates.

16. Miscellaneous

  • Entire Agreement: These terms constitute the complete agreement
  • Severability: Invalid provisions don't affect remaining terms
  • Waiver: Non-enforcement doesn't constitute waiver
  • Assignment: You may not assign rights without our consent
  • Force Majeure: No liability for circumstances beyond control
  • Language: English version prevails in case of translations
